Estos términos y condiciones, en adelante denominados el “Contrato”, constituyen el acuerdo completo entre The Vital Touch Wellness (en adelante, “The Vital Touch Wellness”) y el Cliente (según se define a continuación).
1. Definiciones
1.1 “Horas Acordadas”: las horas solicitadas durante las cuales el/los Terapeuta(s) estarán disponibles según lo solicitado.
1.2 “Cliente”: la persona y/o empresa nombrada para quien se han solicitado los Servicios.
1.3 “Individuo”: el invitado/empleado individual del Cliente que recibe los Servicios.
1.4 “Instalaciones”: la dirección del lugar donde se prestarán los Servicios.
1.5 “Servicios”: los servicios establecidos en la Cláusula 2 de este acuerdo.
1.6 “Terapeuta”: el terapeuta individual que asiste a las Instalaciones con el propósito de realizar el Tratamiento.
1.7 “Tratamiento”: el servicio solicitado.
2. Los Servicios
2.1 The Vital Touch Wellness proporcionará Terapeutas calificados y asegurados al Cliente en las Instalaciones durante las Horas Acordadas. Todos los terapeutas están cubiertos por un seguro de Responsabilidad Profesional y Responsabilidad Civil
2.2 The Vital Touch Wellness instruirá al Terapeuta para que proporcione los Tratamientos solicitados por el Cliente y atienda los requisitos razonables de cada Individuo que requiera un Tratamiento, ejerciendo habilidad, cuidado y diligencia profesional razonables en la prestación del Tratamiento.
2.3 El Terapeuta se reserva el derecho de no proporcionar un Tratamiento a cualquier Individuo que considere no apto para recibir dicho Tratamiento.
3. Obligaciones del Cliente
3.1 El Cliente proporcionará una persona nombrada que será el punto de contacto único con The Vital Touch Wellness. Esta persona puede cambiarse con un aviso razonable de vez en cuando.
3.2 El Cliente debe proporcionar un área adecuada para que se realice el Tratamiento, la cual debe estar limpia, tranquila y ser apropiada para el Tratamiento correspondiente.
3.3 Todos los Individuos que reciban un Tratamiento deben aceptar un consentimiento médico previo al tratamiento.
3.4 El Cliente es responsable de entregar la lista de reservas de nombres al Terapeuta antes del inicio de las Horas Acordadas, si corresponde. The Vital Touch Wellness proporcionará plantillas de horarios si es apropiado.
3.5 El Cliente explicará a cada Individuo la naturaleza y el alcance del Tratamiento.
4. Pago por parte del Cliente
4.1 La tarifa acordada por los Servicios es la mostrada en el presupuesto.
4.2 Todas las sumas adeudadas se pagarán dentro de los 30 días posteriores a la fecha de la factura correspondiente.
4.3 Cualquier cambio en las Horas Acordadas o Tratamientos solicitados una vez que se haya recibido la confirmación de la Reserva puede afectar la tarifa acordada. Cualquier tarifa adicional se facturará según corresponda. Cualquier reembolso adeudado se compensará contra facturas futuras, sujeto a una tarifa administrativa de €10.
4.4 El recargo por fuera del horario laboral para Reservas en el lugar de trabajo que se realicen antes de las 8 a.m. o después de las 6 p.m. se mostrará en el presupuesto.
5. Cancelaciones y cargos para reservas únicas
5.1 Una vez que se haya confirmado una Reserva, las cancelaciones incurrirán en los siguientes cargos:
- 5.1.1 Cancelaciones realizadas con menos de una semana sin fecha de substitución en los siguientes 15 días 50% la tarifa pagada.
- 5.1.2 Cancelaciones realizadas con menos de 24 horas laborables de antelación se cobrarán a la tarifa completa.
5.2 Los cambios en las Horas Acordadas pueden realizarse dando un aviso por escrito con 10 días de antelación. Los cambios en las Horas Acordadas con menos de 10 días de antelación quedan a discreción de The Vital Touch Wellness.
5.3 The Vital Touch Wellness se reserva el derecho de cancelar la prestación de los Servicios sin previo aviso en caso de enfermedad de un Terapeuta u otras circunstancias fuera de su control. The Vital Touch Wellness hará intentos razonables para no cancelar los Servicios, pero el Cliente reconoce que puede no ser posible que un Terapeuta alternativo asista a las Instalaciones. En esta circunstancia, se ofrecerá al cliente un día alternativo o se emitirá un reembolso completo.
5.4 Cualquier reembolso adeudado se compensará contra facturas futuras.
5.5 Las cancelaciones de reservas realizadas con antelación/contratos requieren un aviso de 3 meses o se cobrará la tarifa diaria completa acordada.
6. Terminación
6.1 Este Acuerdo terminará automáticamente si:
- 6.1.1 cualquiera de las partes incumple cualquiera de sus obligaciones bajo este Acuerdo;
- 6.1.2 cualquiera de las partes tiene un receptor, administrador judicial o administrador designado, o entra en liquidación obligatoria o voluntaria.
7. Responsabilidad y Seguro
7.1 El Cliente reconoce que todos los Terapeutas son contratistas independientes y no empleados de The Vital Touch Wellness y que cualquier responsabilidad en cuanto a la prestación de un Tratamiento es entre un Individuo y el Terapeuta.
7.2 En la medida permitida por la ley, la responsabilidad de The Vital Touch Wellness por la prestación de los Servicios se limitará a las tarifas debidas en relación con los Servicios relevantes. Para evitar dudas, la limitación anterior no se aplicará a la muerte o lesiones personales que surjan como resultado de negligencia.
8. No Solicitud
8.1 El Cliente reconoce y acepta que el negocio de The Vital Touch Wellness se basa en la introducción de Terapeutas a Clientes y la gestión de la prestación efectiva de Servicios por parte de los Terapeutas a los Clientes y los Individuos designados. Como resultado, The Vital Touch Wellness tiene un interés comercial legítimo para garantizar que todos los Servicios sean proporcionados por Terapeutas en nombre de The Vital Touch Wellness.
8.2 En consecuencia, The Vital Touch Wellness y el Cliente acuerdan que, por un período de 12 meses después de la prestación de cualquier Servicio por parte de un Terapeuta, el Cliente no solicitará ni recibirá ningún Servicio de ese Terapeuta que no sea organizado por The Vital Touch Wellness.
8.3 Tanto The Vital Touch Wellness como el Cliente acuerdan que los términos de esta cláusula 8 son justos y razonables.
9. Ley
Este Acuerdo estará sujeto a la ley española y a la jurisdicción exclusiva de los tribunales españoles.
Client Terms & Conditions
These terms & conditions hereafter referred to as the “Contract” constitute the entire agreement between the Vital Touch Wellness (hereafter “The Vital Touch Wellness”) and the Client (as such term is defined below).
1. Definitions
1.1 “Agreed Hours” means the requested hours for which the Therapist(s) will be available as requested.
1.2 “Client” means the person and/or company named for whom the Services have been requested.
1.3 “Individual’ means the individual guest/employee of the Client receiving the Services.
1.4 “Premises” means the location address
1.5 “Services” means the services set out in Clause 2 of this agreement.
1.6 “Therapist” means the individual therapist who attends the Premises for the purpose of performing the Treatment.
1.7 ‘Treatment” means the treatment requested.
2. The Services
2.1 The Vital Touch Wellness shall provide qualified and insured Therapists to the Client at the Premises for the Agreed Hours. All therapists are covered for Professional Indemnity and Public Liability insurance.
2.2 The Vital Touch Wellness shall instruct the Therapist to provide Treatments as requested by the Client and attend to the reasonable requirements of each Individual who requires a Treatment exercising reasonable professional skill, care and diligence in the rendering of the Treatment
2.3 The Therapist reserves the right not to provide a Treatment for any Individual they deem unfit to receive such Treatment.
3. The Client’s Obligations
3.1 The Client shall provide a named person to be the single point of contact with The Vital Touch Wellness. This person can be changed on reasonable notice from time to time.
3.2 The Client must provide a suitable area for the Treatment to take place which shall be clean, quiet and appropriate for the relevant Treatment.
3.3 The Client is responsible for delivering the Booking list of names to the Therapist before the start of the Agreed hours, if applicable. The Vital Touch Wellness will supply template schedules if required.
3.4 The Client will explain to each Individual the nature and extent of the Treatment.
4. Payment by the Client
4.1 The agreed fee for the Services is as shown on the quote.
4.2 All sums due shall be paid within 30 days of the date of the relevant invoice, first booking will be paid in advance.
4.3 Any changes to the Agreed Hours or Treatments requested once the Booking confirmation has been received may affect the agreed fee. Any additional fees will be invoiced as appropriate. Any refunds due will be set off against future invoices, subject to a €10 administration fee.
4.4 Out of hours surcharge for workplace Bookings that take place before 8am or after 6pm will be shown on the quote.
5. Cancellations and Charges for one off bookings
5.1 Once a Booking has been confirmed, cancellations will incur the following charges:
5.1.1 Cancellations made with less than 1 week – replacement date within 15days or 50% of the fee due.
5.1.2 Cancellations made with less than 24 working hours’ notice will be charged at the full rate.
5.1.3 Changes to the Agreed Hours may be made by giving 10 days written notice. Changes to the Agreed Hours with less than 10 days notice are at the discretion of The Vital Touch Wellness.
5.3 The Vital Touch Wellness reserves the right to cancel the provision of the Services without notice in case of the illness of a Therapist or other circumstances beyond its control. The Vital Touch Wellness shall make reasonable attempts not to cancel the Services but the Client acknowledges that it may not be possible for an alternative Therapist to attend the Premises. In this circumstance the client will be offered an alternative day or a full refund will be issued.
5.4 Any refunds due will set off against future invoices.
5.5. Cancellations for bookings made in advance require 1 months notice or will be charged at the full daily fee agreed.
6. Termination
6.1 This Agreement will terminate automatically if:
6.1.1 either party shall be in breach of any of its obligations under this Agreement;
6.1.2 either party shall have a receiver, administrative receiver, or administrator appointed, or shall enter compulsory or voluntary liquidation.
7. Liability & Insurance
7.1 The Client acknowledges that all Therapists are independent contractors and not employees of The Vital Touch Wellness and that any liability as to the provision of a Treatment is between an Individual and the Therapist.
7.2 To the extent permitted by law, The Vital Touch Wellness liability for the provision of the Services shall limited to the fees due in relation to the relevant Services. For the avoidance of doubt, the forgoing limitation shall not apply to death or personal injury arising as a result of negligence.
8. Non-solicitation
8.1 The Client acknowledges and agrees that The Vital Touch Wellness’s business is based on introducing Therapists to Clients and managing the effective delivery of Services by Therapists to Clients and the nominated Individuals. As result, The Vital Touch Wellness has a legitimate business interest to ensure that all Services are provided by Therapists on behalf of The Vital Touch Wellness.
8.2 Accordingly, The Vital Touch Wellness and the Client agree that for a period of 12 months after the provision of any Services by a Therapist, the Client shall not request or receive any Services from that Therapist other than arranged by The Vital Touch Wellness.
8.3 Both The Vital Touch Wellness and the Client agree that the terms of this clause 8 are fair and reasonable.
9. Law
This Agreement shall be subject to Spanish Law and the exclusive jurisdiction of the Spanish Courts.
THERAPIST TERMS & CONDITIONS
These terms & conditions in combination with the Client agreement (together hereafter referred to as the “Contract”) constitute the entire agreement between the The Vital Touch Wellness) (hereafter “The Vital Touch Wellness”) and the Therapist (as such term is defined below).
These terms & conditions in combination with the Booking Form (together hereafter referred to as the “Contract”) constitute the entire agreement between the The Vital Touch Wellness (hereafter “The Vital Touch Wellness”) and the Therapist (as such term is defined below).
1. Definitions
1.1 “Agreed Hours” means the requested hours for which the Therapist(s) will be available as confirmed on the quote.
1.2 “Booking” means the appointment made by the Client by way of the acceptance of quote sent.
1.3 “Client” means the person and/or company named on the quote who has requested the Services.
1.4 “Individual’ means the individual guest/employee of the Client receiving the Services.
1.6 “Premises” means the location address as completed in the Booking Form.
1.7 “Services” means the services set out in Clause 2 of this agreement.
1.8 “Therapist” means the individual therapist who attends the Premises for the purpose of performing the Treatment.
1.9 ‘Treatment” means the treatment requested in the Booking Form.
2. The Services
2.1. The Therapist shall provide the Treatments to the Client at the Premises for the Agreed Hours as described in the Booking Form.

2.2. The Therapist shall provide Treatments as requested by the Client and attend to the requirements of each Individual who requires a Treatment exercising reasonable professional skill, care and diligence in the rendering of the Treatment
3. The Client Obligations
3.1. The Client will provide a suitable area for the Treatment to take place which shall be clean, quiet and appropriate for the relevant Treatment.
3.2. The Client is responsible for delivering the Treatment schedule to the Therapist before the start of the Agreed Hours. The Vital Touch Wellness will supply template schedules if appropriate.
3.3. The Client will explain to each Individual the nature and extent of the Treatment.
4. Payment by the Client
4.1. The agreed fee for the Services.
4.2. All sums due shall to the Therapist shall be paid within 30 days of the date of the receipt of payment by the Client of the relevant invoice.
5. Confidentiality
The Therapist understands that he/she may be in receipt of confidential information from an Individual which may relate to the Individual and/or the Client. Accordingly, the Therapist undertakes not to divulge or allow to be divulged to any person at any time any such confidential information to any third party unless the Individual or Client has expressly or impliedly consented to the disclosure.
6. Termination
6.1. This Agreement will terminate automatically if:
6.1.1. either party shall be in breach of any of its obligations under this Agreement;
6.1.2. either party shall have a receiver, administrative receiver, or administrator appointed, or shall enter compulsory or voluntary liquidation.
7. Liability & Insurance
7.1. The Therapist acknowledges that he/she is an independent contractor and not an employee of The Vital Touch Wellness and that any liability as to the provision of a Treatment is between an Individual and the Therapist. The Therapist shall not hold out that she is an employee of The Vital Touch Wellness at any time.
7.2. Furthermore, the Therapist acknowledges that he/she responsible for the payment of all tax and/or national insurance that may be due in relation to sums received from The Vital Touch Wellness. The Therapist shall indemnify and hold The Vital Touch Wellness harmless from any losses The Vital Touch Wellness may incur as a result of the Therapists failure to comply with this clause 7.
8. Non-solicitation
8.1 The Therapist acknowledges and agrees that The Vital Touch Wellness’s business is based on introducing Therapists to Clients and managing the effective delivery of Services by Therapists to Clients and the nominated Individuals. As result, The Vital Touch Wellness has a legitimate business interest to ensure that all Services are provided by Therapists on behalf of The Vital Touch Wellness.
8.2 Accordingly, The Vital Touch Wellness and the Therapist agree that for a period of 6 months after the provision of any Services by a Therapist the Therapist shall not provide or propose the provision of Services to any Client other than arranged by The Vital Touch Wellness.
8.3 Both The Vital Touch Wellness and the Therapist agree that the terms of this clause 8 are fair and reasonable.
9. Law
This Agreement shall be subject to Spanish Law and the exclusive jurisdiction of the Spanish Courts
